1. Agreeing to these terms
These Terms are between you and [LEGAL ENTITY NAME], an Ohio limited liability company ("OpsNerds", "we", "us"). By creating an account or using OpsNerds you agree to them. If you do not agree, do not use OpsNerds.
Our Privacy Policy explains what we do with information and is part of these Terms.
2. Who can use OpsNerds
OpsNerds is a tool for businesses. You must be at least 18 and able to enter into a contract. If you are using it for a restaurant or company, you confirm you are authorised to act for that business and to agree to these Terms on its behalf.
3. Your account
You are responsible for what happens under your account, and for keeping your password to yourself. Tell us promptly if you think someone else has got into your account.
If you invite teammates, you decide what each of them can see and change. You are responsible for who you invite and for removing people who should no longer have access. Anyone with access to your account can see the restaurant information you have given them permission to see.
4. What it costs
OpsNerds is currently free to use. There is no subscription, no trial to cancel, and we do not take payment details.
We expect to offer paid plans in future. If we do, the price, billing cycle, renewal, cancellation and refund terms will be set out clearly before you are asked to pay for anything, and no existing free account will start being charged without you actively agreeing to it.
5. Your information stays yours
Everything you put into OpsNerds, and everything you upload, remains yours. We do not claim ownership of it.
You give us permission to store, process and display that information for one purpose: running OpsNerds for you. That includes passing documents to the service providers described in the Privacy Policy so they can be read. We do not use your information to train artificial intelligence models, and our agreement with our processing provider prohibits them from doing so either.
You are responsible for having the right to upload what you upload. Do not upload documents you are not allowed to share, and do not upload other people's personal information beyond what OpsNerds needs to do its job.
6. Using OpsNerds properly
Please do not:
- try to get into another account, or into data that is not yours
- probe, scan or attack the service, or try to get around security controls
- work around usage limits or quotas, including by making automated or bulk requests
- upload anything malicious
- resell OpsNerds or pass it off as your own
- use OpsNerds to break the law
If you find a security problem, please tell us rather than exploiting it. We would rather hear from you.
7. What the tools are, and what they are not
OpsNerds is not accounting advice, tax advice, legal advice, or investment advice, and we are not your accountant, lawyer or financial adviser. Before you make a decision that matters, check the figures against your own records and talk to a professional who knows your business.
Automated document reading
When you upload an invoice, statement, recipe or expense document, the details are extracted automatically using a third-party artificial intelligence processing provider. This is genuinely useful and it is also genuinely fallible: figures can be misread, lines can be missed, and text can be interpreted wrongly.
You must review extracted information before saving it or acting on it. Every scan shows you the result for checking first, and that step is there for a reason. We are not responsible for decisions made on extracted information you did not check.
8. Availability and changes
We aim to keep OpsNerds running but we do not promise it will always be available. It may be down for maintenance, for problems outside our control, or because a provider we depend on has an outage. We may add, change or remove features, and we may stop offering a tool.
9. Suspension and ending your account
You can stop using OpsNerds at any time, and you can ask us to delete your account and its information as described in the Privacy Policy.
We may suspend or close an account that breaks these Terms, or that we reasonably believe is harming the service or other users. Except where something urgent is happening, we will tell you why.
When an account is deleted, the restaurant information saved to it goes with it, including for teammates on that account. Export or write down anything you want to keep first.
10. Our own material
The OpsNerds site, name, design and software are ours. These Terms do not give you rights to them beyond using the service normally.
If you send us an idea or suggestion, we may use it to improve OpsNerds without owing you anything for it. We would still rather hear the idea than not.
11. No warranties
OpsNerds is provided as it is. To the fullest extent the law allows, we make no warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that OpsNerds will be uninterrupted, error-free, or that its output will be accurate or suitable for your situation.
12. Limits on our liability
To the fullest extent the law allows, OpsNerds is not liable for indirect, incidental, special or consequential damages, or for lost profits, lost revenue, lost data, or business interruption, arising from your use of the service.
Our total liability for any claim relating to OpsNerds is limited to the greater of the amount you paid us in the 12 months before the claim, or one hundred US dollars. While the service is free, that means one hundred US dollars.
Some states do not allow certain limits, so parts of this section may not apply to you.
13. Indemnification
You agree to cover us for claims brought by someone else that arise from information you upload, from your use of OpsNerds in breach of these Terms, or from your breach of the law.
14. Governing law and disputes
These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Licking County, Ohio, and we each agree to the jurisdiction of those courts.
Before starting anything formal, please email us and give us a fair chance to sort it out. Most things can be.
15. Changes to these terms
We may update these Terms. If we do, we will change the effective date at the top and, for significant changes, tell account holders by email. Carrying on using OpsNerds after a change means you accept the updated Terms.
